Introduction

These Terms of Use (“Terms”) govern access to and use of the MoveAI website, mobile application, software platform, and related services (collectively, the “Services”) provided by MoveAI, LLC (“MoveAI,” “we,” “us,” or “our”). By affirmatively accepting these Terms where that functionality is enabled, you agree to be bound by them.

1. Eligibility and Account Registration

To use certain Services, you may be required to create an account or be invited to participate through a healthcare provider or care program. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of login credentials and for activity occurring under your account.

2. Description of Services

The Services may support patient guidance, recovery activities, education, questionnaires, check-ins, communication, device-enabled information where included, and provider or program workflows. Available features depend on the applicable program, configuration, agreement, device, and user role.

3. No Medical Advice; No Emergency Use

The Services are provided for informational, administrative, and care-support purposes only. MoveAI does not provide medical advice, diagnosis, or treatment, and the Services do not replace the judgment of a physician or other licensed healthcare professional. Do not use the Services for emergency or urgent medical needs. If you think you have a medical emergency, call 911 or seek immediate emergency care.

4. Communications

By using the Services and providing contact information, you agree that MoveAI and/or the healthcare organization through which you use the Services may send service-related communications concerning accounts, participation, support, reminders, updates, and related matters by email, text message, push notification, or other electronic means, subject to applicable law.

5. Privacy

Collection, use, and disclosure of information are described in the Privacy Policy and, where applicable, the Notice of Privacy Practices.

6. Permitted Use

  • Use the Services only for lawful purposes and in accordance with these Terms.
  • Do not interfere with or disrupt the Services or attempt to gain unauthorized access to an account, system, or network.
  • Do not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works except as permitted by law.
  • Do not use the Services in a manner that could harm MoveAI, users, healthcare organizations, or third parties.

7. Intellectual Property

The Services, including software, text, graphics, logos, content, and other materials, are owned by MoveAI or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, MoveAI grants a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purposes.

8. Third-Party Services

The Services may contain links to or integrations with third-party services. MoveAI does not control and is not responsible for third-party content, products, services, availability, or data practices.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, MoveAI disclaims warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Services will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, MoveAI and its affiliates, officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or loss of profits, data, use, or goodwill, arising out of or relating to use of or inability to use the Services.

To the maximum extent permitted by law, MoveAI’s total liability arising out of or relating to the Services or these Terms will not exceed the greater of one hundred dollars ($100) or the amount paid, if any, to use the Services during the twelve months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless MoveAI and its affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of misuse of the Services, violation of these Terms, or violation of applicable law.

12. Suspension and Termination

MoveAI may suspend or terminate access to the Services if we believe these Terms have been violated, if required by law, if requested by the healthcare organization sponsoring participation, or to protect the security or integrity of the Services.

13. Changes to the Terms

We may update these Terms. If material changes are made, we will update the effective date and make the revised Terms available through the Services. Continued use after the effective date constitutes acceptance except where a new affirmative acceptance is required.

14. Governing Law

These Terms are governed by Pennsylvania law, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law.
